After obtaining his law degree from Queen’s University, Kingston, in 1989, and articling with the Ministry of Attorney General, Charles practiced commercial litigation at a major Toronto law firm, before moving to Fogler, Rubinoff LLP in 1996, where he continues to advise clients concerning the legal dynamics of construction and commercial disputes.

Charles’ litigation practice covers a broad range of commercial and construction disputes, with an emphasis on construction liens, building contracts, professional liability, insurance defence, estate litigation, insolvency, shareholder disputes, remedies, injunctions, and general commercial advocacy, including Federal Court of Canada and Tax Court applications and appeals.

Charles obtained his Master’s Degree in Law (LL.M) (Civil Litigation and Dispute Resolution) from Osgoode Hall, York University in 1998, specializing in construction litigation issues. Charles attended Harvard Law School in 2000 for formal PIL Negotiation training to better assist the clients he deals with on a regular basis – including business owners, contractors, and suppliers to the construction industry. Charles has been an active member of the Toronto Construction Association, delivering a number of papers and seminars through the Education Committee for the membership of the TCA and the Ontario General Contractors Association.

With experience in estates and trust matters, Charles has acted for institutions, trustees and beneficiaries in estate litigation, and is a member of the CBAO Wills & Estates Section. Charles works closely with our Estate Practice Group in regards to issues of testamentary capacity, Will challenges, trustee negligence, and various estate administration matters.

Although a veteran of a number of hearings, arbitrations, trials, and proceedings, Charles’ general approach – to avoid the costs of litigation for clients wherever possible – is captured in the motto: Litigation if necessary, but not necessarily litigation.

Charles keeps a collection of hard hats in his office, as tokens of his service to many of Ontario’s major players in the construction law arena.

Outside the office, in addition to handling two young boys of his own, Charles is active in the community, having been a “Big Brother of the Year” for Metropolitan Toronto and recently served with the Toronto Kiwanis Boys & Girls Club as Chair of their Building Committee, and received the Community Service Award from the Kiwanis Club of Toronto.

Clients turn to Michael for practical and effective advice for all phases of a business life cycle, including start up, financing, governance, organic growth strategies, intergenerational succession, M&A and exit events.  

Michael particularly enjoys serving as outside corporate counsel to both public and closely held companies, because it allows proactive collaboration with senior management to help set strategic direction and structure transactions to avoid potential problems.

Michael is an active member of the International Lawyers Network (ILN), an association of over 91 law firms worldwide and a former member of the ILN Board of Directors.

Colleen practises exclusively in Intellectual Property (IP) and Technology (IT) law and her clients include start-ups to multinational corporations in every industry sector.

As a registered trade-market agent, Colleen works collaboratively with her clients to help them structure complex IP transactions; maximize and protect their IP portfolios; and develop international strategies, including licensing and distribution arrangements, for revenue generation.

As the traditional concepts of intellectual property continue to evolve, clients turn to her for advice in respect of social media, domain names, CASL, advertising, contests and branding. Colleen also litigates IP disputes before the Courts.

Colleen is recognized as a leader in intellectual property law and has written extensively in this area. She is Co-chair of the firm’s Business Development Committee and is the Past-President of the Society of Sharing, a volunteer organization dedicated to serving seniors and adults with disabilities in the Toronto community.

Ross is a Partner in the firm’s Litigation and Dispute Resolution group.

Ross has a broad practice, including commercial litigation, construction law, tax litigation, estate litigation and health law matters. Ross has appeared before various courts and tribunals in Ontario.

Her practice focuses on all aspects of commercial real estate, including acquisition, disposition, and financing of various classes of real property, with particular expertise in large portfolio transactions for industrial, office, retail and residential portfolios.

Lori has a broad business law practice with an emphasis on corporate finance and mergers and acquisitions.

She advises clients regularly on complex commercial contracts and general corporate matters. Lori has acted for entrepreneurs and start-ups as well as multinational companies in domestic and cross-border transactions. She advises both private and public entities, and acts for investors/lenders as well as investees/borrowers. Lori has advised clients on investment structures, private equity and venture capital transactions, shareholder and partnership agreements, share and asset purchases, business combinations, reorganizations and security arrangements. She has acted on various private and public financings, involving both debt and equity.

Lori represents Canadian and international clients in a broad range of industries including technology, entertainment, manufacturing, transportation, natural resources and consumer products. She is Co-chair of the FR Women’s Network and a member of the firm’s Business Development Committee.

Lori speaks regularly to professional and industry groups about topics that relate to business law, such as business structures, how to position your company for growth, access to capital and questions to ask before becoming a company director.

Nina is a Partner with Fogler, Rubinoff LLP where she practices corporate commercial litigation. 

Her practice is concentrated on complex litigation matters and contract disputes for large corporate clients. In addition to proceedings in the Ontario Superior Court of Justice and the Ontario Court of Appeal, Nina maintains a significant arbitration practice which includes many shareholder and partner disputes in closely held corporations, partnerships and joint ventures.

She has appeared before all levels of Court in Ontario and has acted as counsel in matters involving shareholders’ rights and remedies, including authoring the paper “Using the Oppression Remedy to Resolve Family Business Disputes” published in the Annual Review of Civil Litigation, and has worked extensively on litigation matters involving issues related to the Ontario Business Corporations Act and the Canada Business Corporations Act.  Nina has also acted as counsel in real estate litigation and accountants’ negligence claims. 

In addition to acting for her clients on litigation matters, Nina is also a close and trusted advisor to her clients and is often called upon to assist and advise in connection with her clients’ businesses, operations and strategic planning. In many cases, she has become a vital and instrumental resource to her clients, a stabilizing force during challenging periods, and a reliable source for connecting her clients with industry players to create synergies.

Nina is an active volunteer in her community and is the past Chair of Villa Charities, a not-for-profit organization which she has been involved with since 1989, and sits on their Foundation Board. She is also the past Vice-Chair of the St. Michael’s College School Board of Directors. In addition to her volunteer work, Nina is also involved in a variety of pro bono legal work, including acting as a supervisor of the University of Toronto Moots.   Nina is actively involved in the firm’s mentoring program, a past member of Foglers Executive Committee and a mother of two boys.

Ken practises solely in the area of construction law with an emphasis on claims and dispute management.

Certified as a Specialist in Construction Law by the Law Society of Ontario since 2002, Ken has provided legal counsel to owners, architects, engineers, contractors, subcontractors, material suppliers and surety bonding companies for over 25 years.

Working together with other members of the firm, Ken provides clients with services that include: assistance with bidding, tendering and the RFP/RFQ process, contract review and negotiation, construction liens, claims for negligence, extended duration, delay and claims management including early detection and timely resolution of disputes through mediation, arbitration and litigation.

Ken regularly chairs and participates in the Law Society of Ontario’s Continuing Legal Education programs and speaks to industry groups including the Canadian Institute, EPIC, Infones and numerous Ontario Bar Association (OBA) programs on construction. He is past chair of the OBA’s Construction Law section and is a sessional lecturer for the University of Toronto’s Engineering Master’s Program on construction law and contract administration.
